California AG cancels meeting with Paramount over contested Warner Bros. Discovery merger

California Attorney General Rob Bonta announced on Monday that his office has called off a meeting with representatives of Paramount Pictures that was set for the following day. The cancellation comes amid a lawsuit filed by California and a coalition of eleven other state attorneys general to block Paramount’s proposed $110 billion acquisition of Warner Bros. Discovery (WBD).

Why the meeting was called off

In a statement to the New York Times, Bonta said Paramount leaked details from a Friday‑day discussion and misrepresented the substance of the settlement talks. “Not only did Paramount leak the alleged substance of settlement discussions, but they misrepresented these discussions, demonstrating a lack of good faith,” Bonta wrote. He added that the AG’s office is willing to reconvene once Paramount engages sincerely.

Background on the merger fight

The proposed merger would combine Paramount’s film and television operations with WBD’s portfolio, which includes CNN, HBO, Discovery, the Warner Bros. studio and numerous other assets. The twelve‑state coalition argues the deal would violate antitrust law by concentrating too much market power in a single media conglomerate, potentially squeezing out competition and limiting consumer choice.

State officials have demanded “robust structural remedies” – such as divestitures or spin‑offs – that would reshape the combined company’s structure. Bonta indicated that any settlement must include such remedies to protect California’s media market and the broader public interest.

Legal timeline and financial stakes

A federal antitrust trial is scheduled for March, a timeline that could prove costly for Paramount. Under the merger agreement, Paramount must pay WBD shareholders roughly $7 million for each day the deal remains unclosed after September 30.

Paramount maintains that the merger would be pro‑competitive and has suggested that opposition is driven by political concerns, including fears that the deal could place CNN under new ownership. Bonta rejected those claims, emphasizing that the lawsuit is rooted in antitrust principles, not partisan politics.

Implications for California and the media landscape

If the merger proceeds without the required structural changes, California officials warn it could diminish local news outlets, reduce diversity of viewpoints, and concentrate too much influence over information that reaches the public. The state’s action reflects a broader trend of state attorneys general using antitrust tools to challenge large corporate consolidations.

Paramount has not yet responded to requests for comment from CNN or the AG’s office.
