California AG Bonta Cancels Meeting with Paramount Skydance Over Confidentiality Concerns

California Attorney General Rob Bonta announced that a meeting scheduled for Monday with representatives of Paramount Skydance was cancelled. The discussion was intended to begin preliminary talks on a possible settlement of the state’s lawsuit seeking to block Paramount’s proposed acquisition of Warner Bros. Discovery.

Confidentiality breach cited as reason for cancellation

In a statement, Bonta said the decision followed a “confidentiality issue” that arose after a Friday meeting between his office and Paramount Skydance. He explained, “Paramount did not maintain the confidentiality of that meeting. Not only did Paramount leak the alleged substance of settlement discussions, but they misrepresented these discussions, demonstrating a lack of good faith. As soon as Paramount stops playing games and engages sincerely, my office is happy to meet again.”

Bonta reiterated his preference for resolving disputes “in the boardroom, not the courtroom,” and indicated that the AG’s office remains willing to negotiate if the opposing party acts in good faith.

Legal background and potential impact

The AG has labeled the proposed merger illegal, arguing it could lead to higher prices for consumers, lower quality content, and fewer film and television productions in California. In July, Bonta joined 11 other state attorneys general in filing a federal antitrust lawsuit to stop the deal.

Under the current agreement, Paramount and Warner Bros. cannot complete the transaction until June 1, 2027, or until a court rules on the states’ claims—whichever occurs first. A trial is set for March 2027.

Economic stakes for California

A recent report from the Los Angeles County Department of Economic Opportunity and the L.A. County Film Office estimated that the merger could jeopardize a total of 10,360 job‑years, encompassing direct film and television positions as well as ancillary employment supported by production spending.

Paramount CEO David Ellison defended the merger, stating it would create “a stronger competitor with greater capacity to invest in premium content, support creative talent and workers, and deliver more high‑quality entertainment to audiences.”

Next steps

NBCLÂ’s request for comment from Paramount Skydance has not yet been answered. The AG’s office indicated it remains open to future meetings if Paramount demonstrates a sincere commitment to confidentiality and good‑faith negotiations.
