Panama Enacts Stricter Tax Requirements for Multinational Firms

In a move aimed at enhancing tax transparency and meeting European Union standards, Panama’s National Assembly has approved a new law that imposes stricter requirements on multinational corporations operating within the country. The legislation mandates that these entities demonstrate real local operations or be subjected to a 15% tax on passive foreign income.

New Requirements for Multinationals

The law, which is pending the signature of President Jose Raul Mulino, requires multinational firms to prove economic substance in Panama. This includes having qualified personnel, adequate facilities, strategic decision-making processes, and actual operating expenses within the country. The legislation is designed to ensure that companies are not merely using Panama as a tax haven but are contributing to the local economy.

Passive income subject to the new tax includes dividends, interest, royalties, capital gains, and real estate income earned abroad by members of multinational groups. However, the law provides special treatment for income derived from intangible assets developed in Panama, such as patents, trademarks, and copyrights, to encourage innovation within the country.

Exclusions and Implementation

Notably, the merchant marine sector and financial entities regulated by banking, securities, and insurance authorities are exempt from this regime. The law is set to take effect in the fiscal year 2027, with the executive branch given 90 days to issue the necessary implementing regulations.

The National Assembly emphasized that the legislation is crucial for Panama’s efforts to be removed from EU monitoring lists and to align with international tax transparency standards. This move reflects a broader trend of countries tightening regulations on multinational corporations to ensure fair tax practices and economic contributions.
