Astro Digital to go public via $587 million SPAC merger with Proem Acquisition

Astro Digital, a designer, manufacturer and operator of satellites for Earth observation, communications, space infrastructure and defense, disclosed on Monday that it will become a publicly traded company through a merger with Proem Acquisition Corp I, a special purpose acquisition company (SPAC). The transaction values Astro Digital at about $587 million.

Deal structure and financing

The merger is slated to close in the first quarter of 2027, subject to customary closing conditions. Upon completion, the combined entity will list its shares on the Nasdaq exchange.

Astro Digital expects to receive up to $180 million in gross proceeds from the deal. This includes up to $130 million held in Proem’s trust account and roughly $50 million from private‑investment‑in‑public‑equity (PIPE) investments led by Proem Asset Management and Leon Capital Group.

Company background

Since its founding in 2018, Astro Digital has delivered nearly 40 satellites and served more than 30 customers, among them NASA, the U.S. Department of Defense, Boeing and Sony. The company’s growth reflects a broader trend of early‑stage space firms turning to SPAC mergers to tap strong investor demand and secure capital quickly, as government spending on space initiatives rises and demand for satellite constellations expands.
