CVS Health to Divide Into Two Publicly Traded Companies by 2028

In a move that could reshape the national health‑care landscape, CVS Health disclosed Wednesday that it will separate into two independent, publicly traded companies. The split, slated to close in the first half of 2028, will create a dedicated healthcare‑solutions entity and a stand‑alone retail pharmacy and community‑care business.

Structure of the New Companies

The healthcare‑solutions firm will retain the CVS Health name for now and will house Aetna, the pharmacy benefit manager CVS Caremark, CVS Specialty, Oak Street Health and Signify Health. David Joyner, current chairman and chief executive officer of CVS Health, will continue to lead this entity as chairman and CEO.

“Our history is defined by proactively evolving to stay ahead of what’s next in health‑care, and in today’s environment, that means delivering more affordability, greater access, and a simpler experience,” Joyner said. He added that recent progress—including a stronger leadership team, improved financials and revitalized operations—positions the company to create two focused businesses that will boost consumer engagement, affordability and care coordination.

Retail Pharmacy Business

The second company, to be called CVS Pharmacy, will encompass roughly 9,000 retail drugstore locations, mail‑order pharmacy operations, MinuteClinic walk‑in clinics, virtual‑care services and the Health100 technology services unit. Prem Shah, currently group president of CVS Health, will serve as chief executive of the retail firm.

“CVS Pharmacy will build on its position as America’s leading retail pharmacy, serving as the front door to health and care in our country as the most frequently accessed consumer health touchpoint,” Joyner said.

Shared Capabilities and Future Outlook

Both entities will retain access to products developed under Health100, an initiative focused on artificial‑intelligence tools for patient and customer services. CVS Pharmacy plans to expand services delivered by its approximately 30,000 pharmacists and to pursue broader commercial relationships with insurers, drug manufacturers and competing pharmacy‑benefit managers.

CVS Health assured customers that prescription fulfillment and patient care will continue without disruption throughout the transition. Upon completion, current shareholders will receive stock in both corporations. The company expects each new entity to maintain investment‑grade credit ratings, generate positive cash flow and provide regular shareholder dividends.

Regulatory and Tax Considerations

The split remains subject to final board approval, regulatory filings with the U.S. Securities and Exchange Commission, and confirmation that the transaction will be tax‑free under federal law.

This strategic restructuring reflects a broader trend of large health‑care firms seeking focused operating models to better serve consumers and adapt to evolving market dynamics.
