Marathon Petroleum to Sell Mandan, N.D. Refinery to Texas‑Based CUR Energy

Marathon Petroleum Corporation and its midstream partner MPLX LP disclosed a major transaction that will reshape oil‑processing capacity in the Upper Midwest. The companies are selling their Mandan refinery in North Dakota, along with the St. Paul Park refinery in Minnesota, to CUR Energy, Inc., a Texas‑based energy firm.

Deal structure and financial terms

According to the press release, the overall agreement is valued at roughly $4.2 billion, including the value of on‑hand inventory. Marathon will receive close to $3.5 billion for the refining operations, while MPLX will be paid about $750 million for the associated midstream assets. Those assets comprise crude‑oil pipelines, storage facilities, and terminal infrastructure that support the flow of petroleum products across the region.

What the sale means for Marathon

Marathon officials said the transaction allows the company to redeploy capital toward its Gulf Coast operations and other growth basins. By divesting the Mandan and St. Paul Park plants, Marathon can focus on higher‑margin projects and modernize its core refining footprint, a strategy that aligns with the company’s long‑term profitability goals.

Impact on the Mandan community

The Mandan refinery processes about 72,000 barrels of crude oil each day, providing a stable source of jobs and tax revenue for the city and Burleigh County. While the sale does not immediately change day‑to‑day operations, local leaders will be watching CUR Energy’s plans for investment, workforce development, and community engagement. The company has indicated it intends to maintain current staffing levels during the transition and explore opportunities to expand capacity in the future.

Regulatory timeline

The agreement is subject to federal regulatory review, and both parties expect the transaction to close by the end of 2026. The review process will examine antitrust considerations, environmental compliance, and the continuity of supply for downstream markets.

Broader industry context

This sale reflects a broader trend of consolidation and strategic realignment within the U.S. refining sector. As energy markets evolve, major players are trimming non‑core assets and concentrating on regions where they can achieve operational efficiencies and stronger market positions. For the Upper Midwest, the entry of CUR Energy could bring fresh capital and a renewed focus on maintaining reliable fuel supplies for local consumers and businesses.

Stakeholders, including local officials, labor representatives, and industry analysts, will continue to monitor the transition to ensure that the community’s economic interests are protected while the new owner integrates the facilities into its national portfolio.
