Skydance merges Paramount and Warner Bros. Discovery into a new media giant

David Ellison’s Paramount Skydance announced the closing of its acquisition of Warner Bros. Discovery, uniting two of Hollywood’s most historic film studios under a single, expansive media conglomerate called Skydance. The deal positions the new company as a dominant force across film, television, streaming and news.

Financial footprint of the merger

While the exact purchase price for Warner Bros. Discovery was not disclosed, analysts estimate the transaction cost to be roughly eight times the value of the combined revenue of the two entities. Prior to the merger, Paramount Skydance and Warner reported a combined revenue of $65.3 billion for the twelve months ending in June, according to FactSet. Morningstar estimates that Skydance’s net debt will rise significantly after assuming the liabilities of both studios.

Key assets now under Skydance control

The new conglomerate inherits a vast library of iconic franchises, including Star Trek, Barbie, Top Gun, Harry Potter and Superman. In addition, Skydance now operates the HBO Max and Paramount+ streaming platforms, as well as two major news organizations, CNN and CBS News. Subscription pricing for the ad‑supported tiers of these services remains modest: Discovery+ costs $5.99 per month, while Paramount+’s Essential plan is $8.99 per month, with higher rates for ad‑free options.

Leadership and strategic direction

Ellison will serve alongside co‑CEO Ynon Kreiz, guiding the combined entity’s strategy. As part of a settlement with twelve states that sought to block the merger, Ellison pledged to release a specific number of movies each year. The commitment calls for a set number of releases in the first two years, expanding to 32 titles annually after the third year.

Market impact and valuation

Before the merger closed, Warner Bros. Discovery’s market capitalization was roughly seven times larger than that of Paramount Skydance on the same day. The consolidation is expected to reshape competitive dynamics in both the theatrical and streaming markets, offering advertisers broader reach across cable, broadcast and digital platforms.

Audience share and viewership

According to Nielsen data for July, the combined cable, broadcast and streaming properties owned by Paramount (6.5% of total TV viewing) and Warner Bros. Discovery (5.3%) together accounted for 11.8% of national television consumption.

What’s next for Skydance?

With the merger finalized, Skydance faces the challenge of integrating operations, leveraging its expanded content library, and delivering on its promised film slate. Industry observers will watch how the company balances its news operations with entertainment assets while navigating a competitive streaming landscape.
